SKC will launch a second-stage BM innovation, including the transfer of 100% SKC Solmics subsidiaries / Photo. SKC

 

SKC will secure a 100% stake in SKC Solmix by offering SKC Solmix shares, a subsidiary specializing in semiconductor equipment parts, and a comprehensive stock exchange. Since then, SKC Solmix has been focusing on semiconductor materials/parts business in earnest, and will strengthen its second-stage BM (Business Model) innovation.

SKC held a board meeting on the 12th and decided to acquire 42.2% (25,972,532 shares) of SKC Solmix, which is traded in the market, as a tender purchase and comprehensive stock exchange method, to incorporate SKC Solmix as a wholly owned subsidiary.
The tender offer will be made through the public announcement and other procedures from 13th to 2nd September. The tender offer price is calculated considering the premium. Unparticipated shares will be exchanged with SKC shares. The exchange rate is about 1 week for SKC Solmics and 14.52 weeks for SKC.

SKC made the decision to grow its semiconductor materials and parts business in earnest. SKC Solmics is focusing on parts business for semiconductor processes made of silicon, quartz, alumina and silicon carbide.
Recently, SKC Solmics has expanded its business to include semiconductor parts/equipment cleaning business, which plans to build a cleaning plant in Wuxi, China, and commercialize it next year.

SKC Solmics' 100% subsidiary incorporation is also part of the second phase BM innovation.
SKC, which has been promoting BM innovation for many years, has completed the first phase BM innovation by launching SK Nexilis, which is the No. 1 core material copper foil manufacturing technology for electric vehicle batteries.
In the second stage, we will continue BM innovation centered on semiconductors and eco-friendly materials projects selected as future growth engines.

SKC has already expanded its semiconductor materials business steadily. It secured high-end blank mask localization technology and completed the blank mask factory in Cheonan last year. The goal is to commercialize it quickly after completing customer certification within this year.
In addition, the company has secured the world's second technology to manufacture CMP pads that can be applied to the entire memory semiconductor process, and is constructing a CMP pad 2 plant in Cheonan.

“This decision is a two-step BM innovation plan that came five months after the declaration of the completion of the first phase of BM innovation centered on mobility materials in March this year,” said an SKC official. “SKC has signaled that it will strengthen its semiconductor-related business in earnest following the mobility materials business.”
